What Is a DBA?

A DBA, which stands for “Doing Business As,” is a registered name under which your business operates. It’s also referred to as an assumed name, trade name, or fictitious business name. to File a DBA?

Corporations (both S-corporations and C-corporations), limited partnerships, and limited liability companies (LLCs) typically do not need to file for a DBA unless required by local regulations. However, these types of businesses may choose to register a DBA to operate under a name different from the one listed in their incorporation documents. Here are some common reasons why a business may want to file for a DBA:

Separate Your Name from Your Business Name (Sole Proprietorship or General Partnership)

Sole proprietors or general partners must file a DBA if they wish to operate under a name other than their legal names. Since sole proprietorships and general partnerships are unincorporated, they aren’t required to file entity formation papers or use a formal business name with the state.

Product Flexibility

Corporations or LLCs often file for a DBA when they want to create a separate brand or product line. This allows the business to operate under a different name without the need to create an entirely new entity. For example, Kathy’s Cosmetics Inc. might choose to file a DBA for its skincare line, calling it “Kathy’s Skincare Solutions.” This saves both time and money by avoiding the formation of a separate LLC or corporation.

 Location-Specific Branding

If your business operates in multiple states, you may need to file a DBA in each state. This allows you to use location-specific names while maintaining a single, overarching business entity. For instance, Kathy’s Skincare might register DBAs for “Kathy’s Skincare New York” and “Kathy’s Skincare LA” to differentiate between locations.

Streamlined Rebranding

If your LLC or corporation’s name no longer aligns with your brand or vision, filing a DBA can allow you to refresh your business name without having to form a new LLC. This can be a simpler, cost-effective way to adjust your branding.
